Terms and Conditions for ambientelegal.com


The following terms and conditions govern your access to and use of the ambientelegal.com service and any information, products, services and features made available therein (&quotambientelegal.com"):

1. License

  1. Grant. You are granted a non-exclusive, non-transferable, limited license to access and use ambietelegal.com in accordance with the Subscriber Agreement and these Terms and Conditions (collectively, the “Agreement”). You may use data on ambientelegal.com (“Data”) only in the regular course of your business. You may electronically cut, paste and temporarily store up to 5,000 lines of Data to a storage device under your exclusive control (i) to display internally the Data and (ii) to quote from the Data in work product created in the regular course of your business. You may also create printouts of Data for internal use and for distribution to third parties if the third parties agree not to further distribute the printouts.

    Data, services, software, and features may be added to or withdrawn from ambientelegal.com and otherwise changed without notice.

  2. Limitations. You may not copy, download, store, publish, transmit, transfer, sell or use any part of the Data except (i) as permitted by the Agreement, (ii) with ambientelegal.com’s prior written permission, or (iii) as allowed under the Fair Use provision of the U.S. Copyright Act. Data may not be stored in an archival or other searchable database unless permitted by the Agreement or quoted in your work product. You may not sell, license, or distribute Data in any format to third parties or use Data as a part of or as a basis for any material offered for sale, license or distribution.

    Any such improper use of Data or services constitutes a material breach of the Agreement.

    You may not reverse engineer, decompile, dissassemble or otherwise attempt to determine the source code of the components of ambientelegal.com nor may you reproduce all or any portion of ambientelegal.com. You may use Data cached in your local disk drive solely in support of its use of ambientelegal.com. Certain software may not be capable of supporting ambientelegal.com. The performance of ambientelegal.com varies with the manufacturers’ equipment with which it is used.

  3. Rights in Data. Except for the license granted in these Terms and Conditions, all right, title and interest in Data, in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the property of ambientelegal.com.

AMBIENTELEGAL.COM HAS NO LIABILITY TO YOU FOR ANY CLAIM(S) RELATING TO THE AGREEMENT OR ITS PERFORMANCE, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT OR NEGLIGENCE. IN NO EVENT WILL AMBIENTELEGAL.COM BE LIABLE TO YOU FOR ANY CLAIM(S) RELATING TO YOUR INABILITY OR FAILURE TO PERFORM RESEARCH OR RELATED WORK OR TO PERFORM RESEARCH OR OTHER WORK PROPERLY OR COMPLETELY EVEN IF ASSISTED BY AMBIENTELEGAL.COM. 4. Reservation of Rights. ambientelegal.com may modify the terms of the Agreement including the imposition of access and usage limitations. Any modifications will be effective immediately upon notice to you.

5. Limitation of Claims. Except for claims relating to improper use of ambientelegal.com or Data, no claim, regardless of form, which in any way arises out of the Agreement or the use of or inability to use ambientelegal.com or Data may be made, nor action based upon such claim brought, by either party more than one year after the basis for the claim becomes known to the party desiring to assert it.

6. Termination. ambientelegal.com may terminate the Agreement immediately if you breach the Agreement or if any information provided by you is found to be false or fraudulent.

7. Notices. All notices are sent to ambientelegal.com at Energy Plaza, 500 N. Water St., Suite 620 South, Corpus Christi, Texas 78741, and to the contact person at the address provided by you in the Agreement.

8. Governing Law and Venue. The laws of the State of Texas, USA, without regard to principles of conflict of laws, govern the Agreement. You consent to exclusive jurisdiction and venue of the courts of Nueces County, Texas, USA.

9. Hyperlinks. You may provide hyperlinks to ambientelegal.com from locations outside ambientelegal.com only with express written permission from ambientelegal.com and provided (a) you link only to the ambientelegal.com homepage, (b) you do not remove or obscure, by framing or otherwise, the copyright notices or other notices in ambientelegal.com, (c) and you discontinue providing hyperlinks to ambientelegal.com once notified.

10. Other Provisions. The Subscriber Agreement, including these Terms and Conditions and other Schedules, Addenda, and Attachments, is the entire agreement between the parties with respect to your right to access and use ambientelegal.com. It supersedes all prior agreements. Neither the Agreement nor any part may be assigned, sublicensed or otherwise transferred by you without ambientelegal.com’s prior written consent. If any provision of the Agreement is found to be void, invalid, unenforceable or illegal, the validity and enforceability of the other provisions will not be affected. Failure to enforce any provision of the Agreement is not a waiver of the provision or of the right to enforce the provision. The headings and captions contained are inserted for convenience only and do not constitute a part of the Agreement.

11. Export Laws. ambientelegal.com, Data, and any related technology or documentation may not be exported or reexported in violation of the export control laws and regulations of the United States of America.
